Parties
These terms are between you and Citeqly Ops Ltd, company number 788421, registered office: The Academy, 42 Pearse Street, Dublin 2, D02 YA89, Ireland ("Citeqly"). Legal contact: legal@citeqly.com. Governing law: Ireland. Courts of Ireland have exclusive jurisdiction, without prejudice to mandatory EU consumer protections where applicable.
Service
Citeqly is seller-side questionnaire / DDQ automation: grounded drafts with citations for human review, with NIS2 / DORA topic guidance. Not a certification body, auditor, or full GRC suite. Outputs require human approval before use with buyers.
Pilots & demos
Demos are evaluation-only. Paid pilots are scoped (typically 2 weeks, 2–3 live DDQs) under commercial terms, NDA, and DPA. Either party may terminate a pilot for material breach after written notice; unused prepaid pilot fees handled per the pilot order form.
Security
Access control, TLS in transit, AES-256 encryption at rest for workspace data stores, least-privilege admin access, and audit logging of approvals/exports. Customer may send a security questionnaire during pilot. Sev1 incidents affecting customer data: notify without undue delay and within 72 hours where GDPR Art. 33 applies.
Your content
You retain ownership of policies, questionnaires, and answers. Limited license to Citeqly solely to provide the service. You are responsible for accuracy of approved answers sent to third parties.
Liability
Drafts are assistive. No warranty that answers meet a specific buyer or certification. Paid-pilot liability capped as in the pilot agreement; demos as-is.
